Summary
These terms cover all AxiaNET services — connectivity, hosting, SaaS and VoIP — for business customers in the UK. Service-specific terms (for example circuit SLAs or Microsoft licence terms) sit alongside these in your Order Form.
The agreement
Your contract with AxiaNET is made up of three documents: the signed Order Form, any product-specific Schedule, and these general Terms. Where they conflict, the Order Form wins, then the Schedule, then these Terms.
Term and termination
- Default contract length is stated on the Order Form (typically 12, 24 or 36 months for connectivity; 30 days rolling for SaaS).
- Either party may terminate for material breach with 30 days' written notice if the breach isn't fixed.
- No auto-renewal beyond the initial term unless explicitly opted in. Renewals are 30 days rolling by default.
- Early termination charges, where they apply, are capped at the remaining contract value minus any cost we no longer incur.
Service levels
Each service has a published SLA covering uptime, response and fix targets. Where we miss an SLA, service credits apply automatically against the next monthly invoice — you don't need to ask.
Charges and billing
- Recurring charges are billed monthly in advance, in GBP, by direct debit or bank transfer.
- Usage charges (call minutes, overage, professional services) are billed monthly in arrears.
- Price changes during a fixed term are limited to RPI + 3% per year, applied no more than once in any 12-month period.
- Disputed invoices: tell us within 14 days and we'll pause that line until resolved.
Liability
Our total liability for any 12-month period is capped at the charges paid by you in that period. We don't exclude liability for things we can't legally exclude (death, personal injury, fraud).
Data and confidentiality
We treat your data and your business information as confidential and we apply the safeguards set out in our Privacy Policy. We act as data processor for personal data you put into our services; you remain the data controller.
General
- Governed by the laws of England and Wales.
- Any disputes go to the courts of England and Wales.
- We may update these Terms on 30 days' notice; material changes require your active acceptance.
